2. Explain the procedure to be followed for transfer of
Shares.
3. When can a Director be removed from office? State the
procedure for removal.
4. Draft a notice of a board meeting in proper form.
5. What are the details which have to be included in the
Register of Director's Shareholding?
6. Explain the general powers of the court in case of winding
up by the Court.
7. Distinguish between winding up and dissolution.
8. Draft the minutes of Annual General Meeting of
M/S. Lotus Ltd., at which only ordinary business has
been translated.

liquidation in a voluntary winding up.
12. Discuss in detail the procedure for the appointment of
sole selling agents under different circumstances.
13. What are the provisions of the Companies Act with
regard to issue to Share Certificate? Also state the rules
to be followed in connection with the issue of share
certificates.
14. Draft specimen resolution for conversion of a public
company in to a private company.
15. Describe the procedure of forfeiture of shares. Also state
the procedure for reissue of forfeited shares.
